Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the services provided by Metro Guards (trading as Metropolitan Guard Services) ABN [ABN Number], a licensed security company operating in Victoria, Australia (“Metro Guards”, “we”, “us”, or “our”). By engaging our services or accessing our website at metroguards.com.au, you agree to be bound by these Terms.

1. Services

Metro Guards provides licensed security guard services, mobile patrol services, crowd control, concierge security, alarm response, and related security services (“Services”) across Melbourne and regional Victoria.

All Services are delivered by licensed security officers holding valid licences issued under the Private Security Act 2004 (Vic). Metro Guards reserves the right to modify, suspend, or discontinue any Service at any time with reasonable notice to the client.

2. Service Agreement

Engagement of Metro Guards services is subject to the execution of a formal Service Agreement or acceptance of a written quotation. These Terms form part of that agreement and are incorporated by reference. In the event of any conflict between these Terms and a specific Service Agreement, the Service Agreement shall prevail to the extent of the inconsistency.

Minimum engagement periods may apply. Details of minimum engagement requirements are outlined in the relevant quotation or Service Agreement.

3. Payment Terms

Invoices are issued weekly or as agreed in the Service Agreement. Payment is due within fourteen (14) days of the invoice date unless otherwise specified. All prices are quoted in Australian Dollars (AUD) and are exclusive of GST unless stated otherwise.

Late payments may attract interest at the rate of 1.5% per month on the outstanding balance. Metro Guards reserves the right to suspend Services for accounts that are more than thirty (30) days overdue, without liability to the client.

4. Cancellation and Termination

Either party may terminate ongoing Services by providing thirty (30) days written notice. Cancellation of a confirmed booking with less than forty-eight (48) hours notice may incur a cancellation fee equivalent to four (4) hours of the agreed service rate per security officer scheduled.

Metro Guards may terminate Services immediately if the client breaches these Terms, fails to make payment, or if continuing the engagement would place Metro Guards staff in an unsafe situation.

5. Client Obligations

The client agrees to:

• Provide a safe working environment for Metro Guards personnel in accordance with the Occupational Health and Safety Act 2004 (Vic);
• Provide accurate and timely information required for the delivery of Services;
• Ensure Metro Guards officers have appropriate access to premises and facilities;
• Not direct or instruct Metro Guards security officers to perform duties outside the scope of the agreed Services or in contravention of their licence conditions.

6. Limitation of Liability

To the maximum extent permitted by law, Metro Guards’ liability for any claim arising from the provision of Services is limited to the total fees paid by the client in the three (3) months preceding the event giving rise to the claim.

Metro Guards is not liable for any indirect, consequential, incidental, special, or punitive damages, including loss of profits, business interruption, or theft losses that occur despite the presence of security personnel. Nothing in these Terms limits liability that cannot be excluded under the Australian Consumer Law.

7. Insurance

Metro Guards maintains public liability insurance and professional indemnity insurance in amounts required by applicable law and industry standards. Evidence of insurance coverage is available upon written request.

8. Confidentiality

Both parties agree to keep confidential all non-public information disclosed during the course of the engagement. This obligation survives termination of the Services. Metro Guards will not disclose client information to third parties except as required by law or with the client’s prior written consent.

9. Intellectual Property

All content on the Metro Guards website, including text, images, logos, and reports generated as part of the Services, remains the intellectual property of Metro Guards unless otherwise agreed in writing. You may not reproduce, distribute, or use our content without prior written permission.

10. Privacy

Metro Guards collects and handles personal information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles. Please refer to our Privacy Policy for details on how we collect, use, store, and disclose your personal information.

11. Governing Law

These Terms are governed by the laws of the State of Victoria, Australia. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Victoria. The parties agree to attempt to resolve disputes by negotiation before initiating formal proceedings.

12. Amendments

Metro Guards reserves the right to update these Terms at any time. Updated Terms will be posted on this page with a revised “Last updated” date. Continued use of our Services after any changes constitutes acceptance of the revised Terms.
